Limited Liability Company "Asset Management Company 'INVESTMENT CAPITAL UKRAINE'" (LLC AMC "ICU")

LLC AMC "ICU" provides professional services in the capital markets, specifically asset management for institutional investors. This includes the management of assets belonging to mutual and corporate investment funds, non-state pension funds, insurance companies, and other institutional entities.

Asset management activities for institutional investors are performed by the Asset Management Company (AMC) in its own name or under a relevant agreement for a fee. The AMC's core functions involve managing the composition and structure of a fund's assets in accordance with a chosen strategy to preserve and multiply investors' savings.

Investors in investment funds can be both individuals and legal entities who contribute their free capital to acquire shares of a corporate investment fund or investment certificates of a mutual investment fund for the purpose of generating profit. In turn, the investment fund invests the capital raised from the sale of its own securities into securities of other issuers, corporate rights, real estate, and other assets not prohibited by law, thereby ensuring stable capital appreciation for the investor.

Asset Management Fees and Compensation

The remuneration for asset management (excluding venture funds) shall not exceed 5% of the average net asset value (NAV) of the collective investment institution (CII).

The remuneration for venture fund asset management is determined by agreement between the parties, but shall not exceed 20% of the average annual net asset value of the CII during the financial year, or not more than 15% of the growth in the net asset value of the CII based on the results of the reporting year.

An asset management performance fee (premium) is paid by a decision of the supervisory board of a corporate investment fund or the authorized body of the asset management company for a mutual investment fund, in accordance with the CII regulations. This premium may not exceed 15% of the income generated above the profit level planned in the investment declaration for the corresponding financial year.
